Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Watchfully (the "Service"), operated by SIA "Erik Johansson IT" ("Company," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Service Provider

Watchfully is provided by SIA "Erik Johansson IT", a company registered in Latvia under registration number 40103797562, with its registered office at Rīga, Miķeļa iela 1 - 27, LV-1010, Latvia.

Description of Service

Watchfully is a web-based application for organizing videos and channels in a personal library. It lets you import YouTube subscriptions, add channels and videos, organize them with channel groups and collections, browse videos from your library, and record viewing activity within Watchfully. The Service uses YouTube API Services for the limited YouTube functionality described below.

Account Registration

To use certain features of the Service, you must register for an account using Google OAuth authentication. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
  • Not share your account with others or allow others to access your account

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service in any way that violates applicable laws or regulations
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • Impersonate or attempt to impersonate the Company, another user, or any other person or entity
  • Use the Service to transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools
  • Attempt to bypass any measures we may use to prevent or restrict access to the Service
  • Interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use the Service in a manner that could disable, overburden, damage, or impair the Service
  • Violate YouTube's Terms of Service or API Terms of Service

YouTube API Services

Our Service uses YouTube API Services. By using our Service, you agree to be bound by the YouTube Terms of Service. Additionally:

  • We access only public YouTube data and YouTube account data that you explicitly authorize
  • You can revoke our access to your YouTube data at any time through your Google Account security settings
  • Our use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements
  • We will not post content on your behalf without explicit permission
  • We will not modify your YouTube account settings without explicit permission

Watchfully does not create or manage YouTube playlists.

Subscriptions and Payments

Watchfully's current Early Access plans and their limits are listed on the Pricing page. The plan, price, currency, billing period, applicable taxes, and any material feature limits will be shown before you subscribe.

Unless the applicable offer states otherwise, paid subscriptions will renew at the end of each billing period until cancelled. You will be able to cancel using the method shown when you subscribe; cancellation will take effect at the end of the current paid period unless applicable law requires otherwise. Refunds, including any statutory withdrawal rights, will be handled as required by applicable law and as disclosed at checkout, and in accordance with our Refund Policy.

We may change the price of a future renewal by giving reasonable advance notice. A price change will not affect a subscription period you have already paid for, and you may cancel before the new price takes effect.

Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of SIA "Erik Johansson IT" and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain rights in the organizational content you create in Watchfully, such as collection names, descriptions, channel groups, and preferences. You grant us a non-exclusive, royalty-free licence to use that content only as needed to provide and operate the Service.

User-Generated Content

You are responsible for the organizational content you create in Watchfully. We do not endorse or guarantee its completeness, accuracy, or reliability.

Service Availability

We strive to provide a reliable Service, but we do not guarantee that:

  • The Service will be available at all times or without interruption
  • The Service will be error-free or that defects will be corrected
  • The Service will meet your specific requirements
  • Any data or content you store on the Service will not be lost or corrupted

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

Third-Party Services

The Service integrates with third-party services, including YouTube and Google. Your use of these third-party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the availability, content, or practices of third-party services.

YouTube videos, metadata, channel information, and other creator content remain the property of YouTube and the relevant content owners. Watchfully does not claim ownership of that third-party content; it provides tools to organize and access it. Availability of third-party content may change or be restricted by its owner or provider.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIA "Erik Johansson IT", ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
  • ANY LOSS OF BUSINESS OR ANTICIPATED SAVINGS
  • ANY LOSS OF REPUTATION OR GOODWILL

WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING MANDATORY CONSUMER-PROTECTION RIGHTS.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. SIA "Erik Johansson IT" DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Indemnification

To the extent permitted by applicable law, you are responsible for losses we incur directly because of your unlawful or intentional misuse of the Service, or because organizational content you create in Watchfully infringes another person's rights. This does not create an obligation for you to compensate us for ordinary, lawful use of the Service.

Termination

We may suspend or terminate access where reasonably necessary for a breach of these Terms, unlawful activity, security risks, abuse, or operational or legal reasons. Where reasonably practicable, we will give notice and an opportunity to address the issue. We may act without prior notice where needed to protect the Service, users, or third parties, or to comply with a legal obligation. Upon termination, your right to use the Service will cease.

You may terminate your account at any time by contacting us or through the account settings in the Service. Upon termination, we will delete your personal data in accordance with our Privacy Policy, except where we are required to retain it by law.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Latvia. This does not limit any mandatory consumer-protection rights that apply to you under the law of your country of residence. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Dispute Resolution

If you have a concern, please contact us first at [email protected] so we can try to resolve it informally. Nothing in these Terms limits your right to bring a claim before a court or authority with jurisdiction under applicable law.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SIA "Erik Johansson IT" regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
